"Due Diligence" is such a broad term that small business owners, real estate attorneys and professionals frequently use, but that has often been misunderstood by clients. Typically the term is used to refer to the inspection and investigation of real property, personal property or a business entity before a buyer makes the final decision whether to consummate an acquisition, merger, or loan transaction.
We have been involved with real estate attorneys and transactions from $100K+ and exceeding $70MM. During those years we developed checklists to provide to clients who are planning to acquire or develop property.
It is important clients have a structure for analyzing a contemplated transaction. Although some issues will not apply to a particular transaction or be important to a specific client, a checklist can help the client allocate responsibilities for specific due diligence tasks. Clearly delineated responsibilities for both the client and the attorney can help avoid issues from falling between the cracks in a transaction. We work very closely with clients to help avoid misunderstandings with the client regarding the real estate professionals and attorney's scopes of work in the due diligence process and allow the client to identify tasks that need to be handled by other professionals (e.g., survey, soils, environmental).
